Terms of Service

These Terms of Service ("Terms") govern your use of equivitech.com (the "Site"), operated by Equivitech LLC, a Michigan limited liability company ("Equivitech," "we," "us"). By using the Site, you agree to these Terms. If you don't agree, please don't use the Site.

What this Site is

The Site is informational. It describes Equivitech's advisory practice and lets you start a conversation about working together. Nothing on the Site, and no message you send through the contact form, creates an advisory relationship, an attorney-client-style relationship, or any obligation on Equivitech's part to perform work. An engagement begins only when both parties sign a separate written agreement describing its scope, fees, and terms.

Content on the Site is general in nature and provided for informational purposes. It isn't a substitute for advice tailored to your specific situation, and you shouldn't rely on it as such.

Intellectual property

The Site's text, design, and the Equivitech name and mark are owned by Equivitech LLC or its licensors. You may view and share pages of the Site for your own reference, but you may not copy, republish, or create derivative works from the Site's content for commercial purposes without our written permission.

Acceptable use

You agree not to use the Site to:

• Violate any applicable law;
• Attempt to gain unauthorized access to the Site or its infrastructure;
• Submit the contact form for spam, phishing, or any purpose unrelated to a genuine business inquiry; or
• Interfere with the Site's normal operation.

Third-party links and services

The Site links to third-party services, including LinkedIn and the Web3Forms service that processes contact form submissions (see our Privacy Policy). We don't control those services and aren't responsible for their content or practices.

No warranty

The Site is provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Site will be uninterrupted, error-free, or secure.

Limitation of liability

To the fullest extent permitted by law, Equivitech LLC and its principal will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Site. Equivitech's total liability arising from your use of the Site will not exceed one hundred U.S. dollars ($100). This limitation doesn't apply to liability that can't be limited or excluded under applicable law.

Indemnification

You agree to indemnify and hold Equivitech LLC harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising from your misuse of the Site or your violation of these Terms.

Governing law

These Terms are governed by the laws of the State of Michigan, USA, without regard to its conflict-of-laws rules.

Dispute resolution and arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, the Site, or your interactions with Equivitech through the Site, including any question regarding its existence, validity, or termination, will be finally resolved by arbitration administered under the Rules of Arbitration of the International Chamber of Commerce ("ICC Rules") then in effect, by a single arbitrator appointed in accordance with those Rules.

• Seat: the arbitration will be seated in the State of Michigan, USA.
• Language: the arbitration will be conducted in English.
• Governing law: the arbitrator will apply the substantive law of the State of Michigan identified above.
• Individual basis: disputes will be arbitrated on an individual basis only. Neither party may bring a claim as a plaintiff or class member in any purported class, collective, or representative proceeding.
• Carve-out: either party may seek injunctive relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property or unauthorized access to systems, pending the outcome of arbitration.

ICC arbitration involves administrative fees and formality beyond what smaller disputes typically warrant. If you're a prospective client with questions about how this clause would apply to a specific engagement, ask before signing anything, the engagement agreement for any actual work will contain its own dispute resolution terms.

Changes to these Terms

We may update these Terms from time to time. Changes take effect when posted, with the "Last updated" date above reflecting the most recent revision. Continued use of the Site after a change means you accept the updated Terms.

Severability and entire agreement

If any provision of these Terms is found unenforceable, the rest remain in effect. These Terms are the entire agreement between you and Equivitech regarding use of the Site, and supersede any prior agreements on that subject. They don't apply to, or modify, any separate signed engagement agreement.
